Notwithstanding anything to the contrary contained herein, any dispute,
litigation and / or claim arising in the course or out of and / or relating to
this agreement, including its structure, contention, interpretation,
meaning, scope, operation, maintainability, effect and / or validity
thereof (“Dispute”), shall be resolved by arbitration, administered by
GLOBAL CENTRE FOR ARBITRATION AND DISPUTE
RESOLUTION herein after referred as GCADR, an independent
institution, in accordance with the Dispute Resolution Rules
contemplated under GCADR Rules (“Rules”).
The parties agree that the arbitration shall be before a sole arbitrator
appointed under the GCADR Rules. The judicial proceedings of
arbitration shall be carried out anywhere in India. The language of
arbitration shall be preferably in English. The law governing the
arbitration proceedings shall be prevailing in India. The decision of the
arbitrator shall be final and binding, conclusive on the parties. Subject to
the above, the competent courts at the seat shall have exclusive
jurisdiction to try the same.
